Terms of Service

1. What HumansRunIt is

HumansRunIt (the "Service") is a free, two-sided directory operated by Dumke Ventures UG (haftungsbeschränkt), Ebersprung 2, 16321 Bernau, Germany. The Service helps independent operators (humans who set up AI agents) and small businesses (companies that need them) find each other. We do not handle transactions, do not broker contracts, and are not party to any agreement reached on or off the platform.

2. Scope

These Terms apply to the use of the Service. Today the Service consists of public pages, our blog, a preview of the directory and a waitlist. Joining the waitlist means we store the details you enter in the form so we can tell you when the directory opens and, if you tick the box for it, send you occasional updates. It does not create an account. Our Privacy Policy explains this in detail.

The directory preview shows sample profiles. The operators, client names, ratings and delivery numbers in it are examples that show how the directory will work. They are not real people or real reviews.

Terms of users that differ from these Terms do not apply.

3. Who can use the Service

You must be at least 18 years old to use the Service. The Service is for people acting for their business or freelance work. If you use it or register for a company, you confirm that you may act for that company. Keep any login details private and tell us at tom@humansrunit.com if you think someone else has used your account.

4. Free of charge

Listing on the directory and using it to find someone is free for both sides. We charge no listing fees, no transaction fees, no commission, no take-rate. We may introduce optional paid features in future; if so, you'll be told clearly before any payment is requested.

5. Your responsibilities

You are responsible for your own dealings with the other side. We provide a discovery layer; you negotiate, contract, pay, and deliver directly between yourselves. We are not your employer, agent, or escrow. We do not vet operators or businesses beyond what's visible on their profile and reviews.

Do not post content that is illegal, defamatory, harassing, sexually explicit or fraudulent, or that infringes the rights of others, such as copyright, trademarks or personal data. Do not impersonate others. Do not use the Service to send spam or unsolicited advertising. Do not upload malware or try to bypass security measures. Do not scrape the Service to build a competing directory.

6. Articles on the site

Articles on our blog are general information and not legal, tax, technical or other professional advice. Check details with the tool provider or an adviser before you rely on them.

7. Reviews

Reviews must be honest and based on an actual engagement between an operator and a business. We do not check whether a review is based on an actual engagement. We remove reviews that are fake, abusive, off-topic, illegal or break these Terms. We do not remove or change a review only because the reviewed party dislikes it, and we do not accept payment or other benefits for reviews.

8. Your content

You keep all rights to the content you post on the Service, such as your profile, listings, portfolio, reviews and images. You grant us a free, non-exclusive, worldwide right to store, display, adapt the format of and make that content publicly available as part of the Service, including in search results and in link previews when pages of the Service are shared. This right ends when you delete the content or your account, except for content we must keep by law. You confirm that you hold the necessary rights to what you post and that it does not infringe the rights of others.

If a third party makes a claim against us because content you posted infringes their rights or breaks the law, and you are at fault, you will indemnify us against that claim and the reasonable costs of our legal defence. We will tell you about the claim promptly and let you take part in the defence.

9. Availability and content

The Service is free of charge. We work to keep it available and the listings up to date, but there is no entitlement to uninterrupted availability, to a particular level of availability or to particular features. Listings, profiles and reviews are created by their users. We do not check them for accuracy and do not guarantee the quality of any operator or business you meet through the Service. Our liability is governed by section 10. Your statutory rights remain unaffected.

10. Liability

10.1 We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent we have given a guarantee.

10.2 For slight negligence we are liable only if we breach an essential contractual obligation, meaning an obligation whose fulfilment makes proper use of the Service possible in the first place and on which you may regularly rely. In that case our liability is limited to the damage that is typical for this kind of contract and foreseeable when the contract was concluded.

10.3 In all other cases our liability for slight negligence is excluded. Clauses 10.1 to 10.3 also apply to the personal liability of our employees, representatives and agents.

10.4 Contracts for services are concluded only between operators and businesses. We are not a party to them and are not responsible for their performance, payment or quality, or for the conduct of other users. Our own liability under clauses 10.1 to 10.3 remains unaffected.

11. Ending your use

You can stop using the Service at any time. To leave the waitlist, email tom@humansrunit.com. We can end your use of the Service with 4 weeks' notice. We can suspend or close your account without notice if you seriously or repeatedly break these Terms or post illegal content; we tell you the reason (see section 13).

12. Changes to these Terms

We may change these Terms for valid reasons: when the law changes, when a court or authority requires it, or when we add or change features. A new version applies to people who start using the Service after it is published. If you already use the Service, the version that applied when you started stays in force for you. The effective date at the top shows the last revision.

13. Content rules, reports and moderation

Our single point of contact for users and authorities under the EU Digital Services Act is tom@humansrunit.com. You can write to us in German or English.

Do not post content that is illegal or breaks sections 5 and 7. If you think content on the Service is illegal or breaks these Terms, report it to tom@humansrunit.com. Include the exact location (URL), why you think the content is illegal or breaks these Terms, your name and email address, and a statement that your report is accurate and complete to the best of your knowledge. We confirm receipt, decide promptly, carefully and objectively, and tell you what we decided.

Reports and moderation decisions are reviewed by a person at HumansRunIt. We do not use automated tools to remove or restrict content or to suspend accounts. If content is illegal or breaks these Terms, we may remove, hide or restrict it, including reviews, or suspend or close the account that posted it. We tell the affected user what we did, why, which rule or law applies, and how to challenge the decision. You can challenge it within 6 months by email to tom@humansrunit.com or by replying to our email; a person reviews the decision again and we reply. Your right to go to court remains unaffected.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not take away the protection of mandatory provisions of the law of the country where you live. If you are a merchant, a legal entity under public law or a special fund under public law, or if you have no general place of jurisdiction in Germany, the exclusive place of jurisdiction is the registered seat of Dumke Ventures UG (haftungsbeschränkt) in Bernau bei Berlin, Germany.
